• Google (NASDAQ:GOOG) agreed to enter into a consent decree with the Justice Department with regard to its purchase of ITA Software Inc. The company will be subject to compulsory licensing and government monitoring of travel search and services. Google will have to impose firewalls on client data

• Johnson & Johnson (NYSE:JNJ) announced it will pay $70 million in fines, disgorgement and interest in a settlement related to publicly disclosed Foreign Corrupt Practices Act investigations by the Justice Department and the SEC. As part of the settlement, the company has entered into a Deferred Prosecution Agreement with the DOJ and a Consent to Final Judgment with the SEC

• Expedia (NASDAQ:EXPE) announced plans to spin off its TripAdvisor unit into a separate, publicly traded company. Under the proposed deal, the company would continue to include domestic and international operations of the company’s travel brands, which include Expedia.com, Hotels.com, Hotwire, and carrentals.com

• FBR Capital upgraded AerCap Holdings (NYSE:AER) to Outperform from Market Perform

• RW Baird Beacon upgraded Roofing Supply (NASDAQ:BECN) to Outperform from Neutral

• Goldman Sachs upgraded BJ’s Wholesale Club (NYSE:BJ) to Conviction Buy from Neutral

• SunTrust initiated coverage on F5 Networks (NASDAQ:FFIV) with a Buy rating

• RBC Capital upgraded Immunogen (NASDAQ:IMGN) to Outperform from Sector Perform

• Macquarie upgraded Nabors Industries (NYSE:NBR) to Outperform from Neutral

• Keybanc downgraded Bally Technologies (NYSE:BYI) to Hold from Buy

• BMO Capital downgraded Catalyst Health Solutions (NASDAQ:CHSI) to Market Perform from Outperform

• Goldman Sachs downgraded Costco Wholesale (NASDAQ:COST) to Neutral from Buy

• RW Baird initiated coverage on Quality Systems (NASDAQ:QSII) with a Neutral rating
