Quanta Services Inc (PWR) is set to acquire Valard Construction, one of Canada’s largest electric power line contractors. The deal is valued at $219 million, inclusive of any debt repayment.
The financing will use a combination of cash, Quanta common shares and exchangeable shares of a Canadian subsidiary of Quanta Services. The acquisition will augment Quanta’s Canadian services portfolio and provide Valard’s customer base the benefits of Quanta’s energy infrastructure products.
As a result of its nationwide presence and significant scale, Quanta Services is able to deploy services to customers across the United States. This capability is particularly important to customers who operate networks that span multiple states or regions. The scale of its operations also allows Quanta to mobilize a significant workforce on a short notice for emergency restoration services.
Its customer relationships extend over multiple end markets and include electric power, gas, telecommunication and cable television companies, as well as commercial, industrial and government entities. It has established a solid base of long-standing customer relationships by providing high quality services in a cost-efficient and timely manner. Many of its customer relationships are multi-year, and in some cases, decades old.
The company is one of the few network service providers capable of regularly delivering complete solutions on a nationwide basis. As companies in the electric power, gas, telecommunication and cable television industries continue to search for service providers who can effectively design, install and maintain their networks, Quanta Services believes that its service, industrial and geographic reach assist it strongly to meet these needs.
Its electric power customers benefit from its uninterrupted power services, which are referred to as energized services. It holds a U.S. patent protecting its exclusive use of the LineMaster robotic arm through 2014, which enhances the ability to deliver these energized services to its customers.
It also holds certain international patents for the LineMaster and U.S. and international patents protecting other robotic arm technologies for various periods up to 2024, as well as U.S. and international pending patent applications for certain energized methodologies. It believes that delivery of energized services is a significant factor in differentiating itself from competition.
The industry is served by numerous small, owner-operated private companies, some public companies and several large regional companies. There are few barriers preventing entry into some of the industries. As a result, any organization having adequate financial resources and access to technical expertise is a competitor. Competition in the industry depends on a number of factors, one being price. Certain competitors may have lower overhead cost structures, and, therefore, may be able to provide their services at lower cost.
